1. Acceptance of Terms & Modifications

By accessing or using Jamprovise, you agree to be bound by these Terms of Service. If you do not agree, do not use the service.

We reserve the right to modify these Terms at any time. Changes are effective immediately upon posting. Your continued use of the service constitutes acceptance of the revised Terms.

2. Eligibility & Accounts

You must be at least 18 years old to use Jamprovise. By using the service, you represent that you meet this requirement.

You are responsible for maintaining the confidentiality of your account credentials (including any third-party single sign-on providers like Google or Apple) and for all activities that occur under your account. You agree to:

• Provide accurate and complete information.

• Notify us immediately of unauthorized access.

• Not share or transfer your account to others.

3. Subscriptions, Fees & Auto-Renewal

Jamprovise offers "Free" and "Pro" tiers. Pro subscriptions provide expanded AI limits and storage.

• Billing: Subscriptions automatically renew at the end of each cycle (monthly/annually) unless canceled.

• No Refunds: All fees are non-refundable. Cancellation takes effect at the end of the current paid term.

• Price Changes: We may change fees with 30 days' notice. Continued use equals acceptance.

4. Intellectual Property, Commercial Use & AI Outputs

User Content: You retain ownership of musical sequences you create. You grant us a limited, worldwide license to host and process this data solely to provide the service.

Commercial Use & Royalty-Free Guarantee: We explicitly grant you a perpetual, royalty-free, worldwide license to use, monetize, reproduce, and distribute any exported audio (WAVs) and MIDI generated by the Jamprovise platform. No attribution to Jamprovise is required for your commercial tracks.

AI Output & Copyright Disclaimer: While Jamprovise claims zero ownership over your generated outputs, we make absolutely no legal guarantees regarding whether purely AI-generated works are eligible for copyright protection in your specific legal jurisdiction. You are solely responsible for determining the copyrightability of your exported materials.

Feedback: If you provide suggestions or ideas ("Feedback"), you grant us a royalty-free, perpetual license to use that Feedback for any purpose without compensation.

5. Prohibited Conduct

You agree NOT to:

• Reverse-engineer, scrape, or "mine" data from the Jamprovise API or AI outputs.

• Resell or commercially exploit the service data without permission.

• Bypass rate limits, security controls, or automate requests outside the UI.

• Generate illegal, harmful, or infringing content.

6. Account Termination & Suspension Rights

We expressly reserve the right to suspend or terminate your account and access to the Jamprovise Service and API at our sole discretion, at any time, without notice or liability for refunds. This includes, but is not limited to, terminations resulting from violations of the "Prohibited Conduct" section, such as API abuse or malicious activity.

7. DMCA & Copyright Infringement Policy

Jamprovise respects the intellectual property rights of others. If you believe that your copyrighted work has been infringed upon by content on our platform, please report it to our designated copyright agent via our feedback form.

It is our strict policy, in appropriate circumstances, to terminate the accounts of users who are repeat infringers.

8. Service Modifications & Uptime Limitations

We reserve the right to modify, update, suspend, or discontinue any part of the service at any time without liability or obligation for refunds. This includes the right to remove specific AI models, server capabilities, or sample libraries without prior notice.

9. Disclaimers & Limitation of Liability

Jamprovise is provided "AS IS" and "AS AVAILABLE". We disclaim all warranties, including accuracy of AI outputs or 100% uptime.

To the maximum extent permitted by law, our total liability for any claim shall not exceed the greater of $100 or the fees paid by you in the last 6 months.

10. Indemnification

You agree to defend and indemnify Jamprovise and its operators from any claims, damages, or losses arising from your misuse of the service or violation of these Terms.

11. Dispute Resolution & Arbitration

Most disputes can be resolved informally. If not, you agree that any dispute shall be resolved via binding arbitration on an individual basis.

Class Action Waiver: You waive any right to participate in a class-action lawsuit or class-wide arbitration.
